Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Merchant” or “User”) and WEB Univers LLC, operating FlashManager (“Company,” “we,” “us,” or “our”) regarding your access to and use of the FlashManager platform at platform.flash-manager.com and related services (collectively, the “Service”).

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

FlashManager is a SaaS platform that provides Shopify merchants with:

• Order management and synchronisation from connected Shopify stores
• Integration with local and regional delivery companies
• Automated WhatsApp Business messaging
• Meta Ads ROAS tracking and reporting
• Team management, order dispatch, and commission tracking
• Status management and customer communication tools

3. Account Registration

To use FlashManager, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access at support@web-univers.com

You may not create accounts for the purpose of abuse, resale, or circumventing usage limits.

4. Shopify Integration

FlashManager is an independent application and is not created, endorsed, or affiliated with Shopify Inc. By connecting your Shopify store, you:

• Grant FlashManager access to the Shopify API scopes listed in our Privacy Policy under your Shopify account permissions
• Agree that FlashManager will sync, store, and process your store data solely to provide the Service
• Remain responsible for ensuring your use of FlashManager complies with Shopify's Partner Program Agreement and API Terms
• Accept that you must comply with Shopify's mandatory privacy webhook requirements (shop-redact, customers-redact, customers-data-request) which are handled automatically by FlashManager

5. Meta & WhatsApp Integration

By connecting WhatsApp Business or Meta Ads, you confirm that:

• You are the authorised owner or administrator of the connected Meta Business Account and WhatsApp Business Account
• You will use WhatsApp messaging only in compliance with WhatsApp Business Policy and applicable regulations
• You will only send messages to recipients who have opted in to receive messages from your business
• FlashManager is not responsible for Meta template rejections or WhatsApp account suspensions resulting from policy violations

6. Acceptable Use

You agree not to use FlashManager to:

• Violate any applicable law or regulation
• Send spam, unsolicited messages, or harassing communications via WhatsApp
• Process, store, or transmit data in violation of privacy laws or third parties' rights
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Resell, sublicense, or redistribute access to FlashManager without our written consent
• Use the Service for any illegal or fraudulent purpose, including order fraud
• Interfere with or disrupt the integrity or performance of the Service or its data

7. Billing & Subscriptions

Paid plans are billed through your connected Shopify store using the Shopify Billing API. By subscribing to a paid plan:

• You authorise FlashManager to charge your Shopify account on a recurring monthly or annual basis
• Subscriptions renew automatically unless cancelled before the next billing cycle
• Plan changes take effect at the start of the next billing cycle
• You may cancel your subscription at any time from your Shopify admin or by contacting us. No refunds are issued for partial billing periods unless required by law.
• We reserve the right to modify pricing with 30 days' advance notice to registered users

8. Intellectual Property

All intellectual property in the FlashManager platform — including software, design, trademarks, and content — is owned by FlashManager or its licensors. You may not reproduce, modify, distribute, or create derivative works without our express written consent.

You retain all ownership of your store data (orders, products, customers) and any content you create within the platform. By using the Service, you grant FlashManager a limited, non-exclusive licence to process that data solely to provide the Service.

9. Data Processing

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that FlashManager acts as a data processor for Shopify customer data and that you, as the Shopify merchant, are the data controller.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FlashManager shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Loss of profits, data, or business opportunities
• Service interruptions or downtime
• Actions or inactions of third-party services (Shopify, Meta, WhatsApp, delivery companies)
• Unauthorised access to your account or data as a result of your failure to maintain secure credentials

Our total aggregate liability to you shall not exceed the fees paid by you to FlashManager in the three (3) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted operation. We do not guarantee that the Service will be error-free or that data synced from Shopify will always be accurate or complete.

12. Termination

Either party may terminate the agreement at any time. FlashManager reserves the right to suspend or terminate your account immediately if:

• You breach these Terms or our Acceptable Use Policy
• We receive a valid legal order to do so
• You engage in fraudulent activity

Upon termination, your right to access the Service ceases. We will retain your data for 30 days after termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

13. Governing Law

These Terms are governed by applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction of WEB Univers LLC, unless otherwise required by applicable consumer protection laws in your jurisdiction.

14. Changes to Terms

We may update these Terms at any time. We will provide at least 14 days' notice for material changes via email or in-platform notification. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
